Official Rules for the “Own Your True Contest”

NO PURCHASE NECESSARY TO WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Agreement to Official Rules.  Participation in the “Own Your True Contest” (the “Contest”) constitutes each Eligible Entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Contest is sponsored by Guru Denim LLC, 500 West 190th Street, Suite 300 Gardena, CA 90248 (“Sponsor”). This Contest is not sponsored, endorsed, or administered by Instagram or TikTok, and Instagram and TikTok are not associated with the Contest in any way. Any questions, comments, or complaints regarding the Contest must be directed to Sponsor, and not to Instagram or TikTok. You are providing your information to Sponsor and not to Instagram or TikTok.

2. Odds.  The odds of winning a prize will be determined by the number of eligible entries received.

The Contest is only open to legal residents of the United States and District of Columbia who, at the time of entry, have reached the age of majority in the jurisdiction in which they reside (“Eligible Entrant(s)”). Employees and directors of Sponsor or any of its parents, subsidiaries and affiliates, advertising, promotion, or production agencies (and their respective IRS dependents, immediate family members and individuals residing in their same household) are not eligible to participate.  All members, shareholders, owners, directors, officers and employees of Sponsor and each of its affiliates, sales representatives, distributors, licensees, agents, advertising and Contest agencies, and each of their immediate family members (spouses, parents, children, and siblings and their respective spouses), and those living in the same household as each, are not eligible to participate in the Contest.  The Contest is subject to all applicable federal, state, provincial, and local laws and regulations.  Void where prohibited.

4. Entry Period.  The Contest entry period begins on 12:00 pm Pacific Standard Time (“PST”) on February 20, 2025, and ends on 11:59 pm PST on March 16, 2025 (the “Entry Period”). Sponsor’s computer shall be the official time-keeping device for the Contest.

5. How to Enter Contest. There are two methods to enter this Contest:

• A. Instagram. To enter the Contest via Instagram, during the Contest Period, Eligible Entrant must (a) Follow @truereligion on Instagram, (b) Fill out the entry form at truereligion.com/ownyourtruecontest with: Name, Email, Zip code, City and Instagram handle (c) “Post a photo or video wearing True Religion to your public Instagram account, tag @truereligion, use hashtags #ownyourtrue and #contest and share how you “Own Your TRUE” in the post caption. To enter the Contest, you must be an active holder of a non-private Instagram account (holders of private account settings may not enter in this method). If you do not have the Instagram application, you may download it through the application store on your mobile device. The Instagram application is free, and Instagram’s Terms of Use apply. • B. TikTok: To enter the Contest via Tiktok, during the Contest Period, Eligible Entrant must must (a) Follow @truereligion on TikTok, (b) Fill out the entry form at truereligion.com/ownyourtruecontest with: Name, Email, Zip code, City and TikTok handle (c) “Post a photo or video wearing True Religion to your public TikTok account, tag @truereligion, use hashtags #ownyourtrue and #contest and share how you “Own Your TRUE” in the post caption. To enter the Contest, you must be an active holder of a non-private TikTok account (holders of private account settings may not enter in this method). If you do not have the TikTok application, you may download it through the application store on your mobile device. The TikTok application is free and TikTok’s Term of Use apply. • When filling out the entry form at truereligion.com eligible entrants will have to sign up to True Religion’s SMS text messaging program to enter the contest. For True Religion’s Terms of Use and SMS/Text Terms please visit https://attnl.tv/t/b82.
• If you enter using a mobile device on a wireless service provider’s network (as opposed to a Wi-Fi network), your carrier’s text and data rates will apply. You should consult your wireless service provider’s pricing plan for details. You agree to incur any and all charges demanded by your wireless carrier.
• ELIGIBLE ENTRANTS SHOULD NOT INCLUDE THEIR NAME, CONTACT INFORMATION OR ANY OTHER PERSONALLY IDENTIFIABLE INFORMATION IN THE PHOTO OR VIDEO, OR ANY PART THEREOF, AS THE VIDEO MAY BE PUBLICLY ACCESSIBLE. SPONSOR RESERVES THE RIGHT TO MODIFY THE VIDEO TO REMOVE SUCH INFORMATION AND/OR DEEM THE VIDEO VOID AND ILLEGIBLE TO PARTICIPATE IN THE CONTEST.

6. Judging Requirements On or about March 18, 2025, a committee of Sponsor employees (the “Judging Committee”) will review all eligible Entries submitted during the Contest Period by all Eligible Entrants and determine one (1) Grand Prize Winner, one (1) Top State Prize Winner and Ten (10) runner ups based on the following criteria of Eligible Entrant’s submission: (a) creativity – 40%; (b) execution – 30%; and (c) originality – 30%. By entering the Contest, each Eligible Entrant agrees that the Judging Committee’s decisions regarding the winning Entry and in regard to all related matters (including, without limitation, eligibility) shall be final and binding in all respects.

7. Winner Notification. Each potential Grand Prize Winner, Top State Prize Winner and Runner Ups will be notified by email and/or Instagram Direct Message or TikTok Direct Message (as applicable) on Friday March 20, 2025. Each Eligible Entrant understands that the Sponsor may withhold and remit required taxes to the appropriate taxing authorities for the amount of any taxes due for the value of the prize or may otherwise advise appropriate taxing authorities of the winner(s) receipt of the prize and its value. If any potential winner declines in writing to accept a prize, such documents are not returned within the specified time period, prize or prize notification is returned as undeliverable, the Sponsor is unable to contact a potential winner(s) within a reasonable time period, or a potential winner is not otherwise in compliance with these Official Rules, the prize will be forfeited and, at the Sponsor’s sole discretion and time permitting, Sponsor may select an alternate winner(s) from all remaining eligible Entries. Prizes will be fulfilled approximately thirty (30) business days after the conclusion of the Contest. Limit one (1) prize per Eligible Entrant. All prizes must be claimed by potential winners within thirty (30) days following prize notification. Unclaimed prize(s) will not be awarded and Sponsor will have no further obligation to such potential winner for any unclaimed prize(s).

• The potential Eligible Entrant winner and Runner Ups will be required to execute and return an affidavit of eligibility/liability release and, where lawful, a publicity release (collectively, the “Affidavit/Release”) and other reasonably requested information to verify eligibility within seven (7) days of date of issuance. The Eligible Entrant winner and Runner Up is fully responsible for any and all applicable federal, state, and local taxes associated with the prize. The Eligible Entrant winner and Runner Up understands that the Sponsor or its respective agents may advise the United States Internal Revenue Service of the value of the prize awarded in the form of an IRS Form 1099, or otherwise. The Eligible Entrant and/or Runner Up understands that, prior to being entitled to receive any prize, and prior to receiving any prize, such Eligible Entrant and/or Runner Up will be required to first provide Sponsor with all of Eligible Entrant’s applicable taxpayer identification information and other required and reasonably requested tax and tax-related documentation (e.g., IRS Form W-9, government-issued photo identification, etc.). If the winner and/or Runner up does not have a SSN/FEIN and therefore cannot provide one on the Affidavit/Release and does not submit a complete and correct Form W-9, the Sponsor will have the right, if required by applicable law, to withhold federal income tax according to applicable federal tax law and submit that withheld amount to the U.S. Treasury on the winner’s behalf, and the winner will receive a prize that is net of the federal income tax withheld. If such potential winner declines in writing to accept a prize, such required information or documents are not returned within the specified time period, prize or prize notification is returned as undeliverable, the Sponsor is unable to contact a potential winner within a reasonable time period, or a potential winner is not otherwise in compliance with these Official Rules, the potential winner will forfeit the prize. In the event that a potential Eligible Entrant winner and/or Runner up is disqualified for any reason, Sponsor will award the applicable prize to an alternate Eligible Entrant winner and/or Runner Up by random drawing from among all remaining Eligible Entrant entries. If necessary, there will be up to three (3) alternate drawings, after which the prize will remain unawarded.

8. Prizes.

• Grand Prize Winner: Sponsor will award the Grand Prize Winner with: a Flight Credit gift card valued at seven hundred dollars ($700 USD), a three (3) night Hotel stay for two (2) in the Palm Springs area valued at One Thousand Dollars ($1,000 USD), a True Religion Gift Card in the value of One Thousand Dollars ($1,000 USD), two (2) VIP passes to BuddhaFest, two (2) VIP Festival Swag Bags and a feature on @Truereligion Instagram and TikTok social media channels.
• Top State Prize: Sponsor will award Top State Prize winner, which will be chosen from the State with the most entries, a True Religion Gift Card in the value of One Thousand Dollars ($1,000 USD),
• Runner Ups: Sponsor will award Ten (10) Runner ups a True religion denim piece of their choice in the approximate value of Two Hundred and Fifty Dollars ($250 USD)
• Sponsor has sole and absolute discretion to provide alternative items of equal or lesser value, to the Eligible Entrant winner in this Contest. Total Approximate Retail Value of all prizes six thousand and seven hundred U.S. dollars ($6,700 USD). Gift card prize is subject to the terms and conditions of the gift card. Prizes are awarded “as is” without any warranty, and any warranties, whether express or implied, including the warranties of merchantability and fitness for a particular purpose, are hereby disclaimed by the Sponsor. No interest will be paid on any cash prize. All costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winner. Prizes that require delivery will be delivered only to a valid physical address within the United States that the winner provides to the Sponsor or its representative at the time of winner notification. Prizes are non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole discretion. There will be no substitutions for any prize except by Sponsor who reserves the right to substitute a prize with one of comparable or greater value at their sole discretion. Other restrictions may apply.

9. Conditions/Use Rights.  By accepting any prize, the Eligible Entrant consents to the use of their name, voice, and likenesses, including all accompanying personally identifiable information such Eligible Entrant submits or Sponsor obtains in the course of the Eligible Entrant accepting any prize, via all forms of media now known or hereafter devised worldwide, in perpetuity, without notice, attribution or compensation (other than the specific prizes described herein) to such Eligible Entrant, his/her successors or assigns, or any other entity, except where prohibited by law.

10. Privacy.  Participation in the Contest requires the collection and use of certain personal information (such as your name, contact details, and phone number). By participating in the Contest, Eligible Entrant authorizes Sponsor to collect, use, and process data about Eligible Entrant, including personal information submitted by Eligible Entrant or otherwise collected by Sponsor, directly or indirectly through Sponsor’s vendors, through the process of administering the Contest. This consent includes your authorization to allow the transfer of your personal information whether within Eligible Entrant’s country of residence or elsewhere, and shared with such third party(ies) as Sponsor deems appropriate, for purposes of administration of the Contest.  All information submitted to Sponsor as part of this Contest will be treated in accordance with Sponsor’s privacy statement, available at https://www.truereligion.com/privacy-policy.html.  Personal information will be used to: (a) provide information about the Contest; (b) contact and publicize potential winners; and/or (c) to receive additional information from Sponsor such as to send additional information to that entrant during or after any Entry Period.  Eligible Entrants have the right to withdraw the foregoing consent and to correct their personal data, but Eligible Entrant are not allowed to re-submit their entries.  Directions on procedures for submitting corrections to personal data are provided in the privacy statement of Sponsor.

11. Release and Limitations on Liability.  By participating in all or a portion of the Contest, Eligible Entrants agree to release and hold harmless all members, shareholders, owners, directors, officers and employees of Sponsor and each of its affiliates, sales representatives, distributors, licensees, agents, advertising and Contest agencies, and all others associated with the development and execution of the drawing (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest, or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, misdirected, incorrect, or incompletely received entries; (e) errors in the administration of the Contest or the processing of entries; (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Eligible Entrant’s participation in the Contest or acceptance, receipt, use, or misuse of any prize; or travel to any Contest-related events; or from the misuse or loss of any personal information collected in connection with the Contest; and (g) any claims based on publicity rights, copyright/trademark infringement, intellectual property rights, defamation or invasion of privacy or merchandise delivery.  By participating, you agree that: (a) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or any prizes awarded, shall be resolved individually without resort to any form of class action; (b) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorney’s fees; (c) under no circumstances will any Eligible Entrant be permitted to obtain any award for, and Eligible Entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of- pocket expenses; and (d) these Official Rules and all disputes shall be governed by the internal laws of the state of California; without regard to principles of conflicts of laws that may result in application of other than the aforementioned intended governing law; any disputes shall be resolved exclusively in the state or federal courts in the state of California, and you expressly consent to the jurisdiction of said courts and waive any objection thereto. For New Jersey residents: Nothing herein prohibits recovery of damages or attorneys’ fees where required by statute.

• Sponsor is not responsible if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather, pandemics or acts of terrorism. Eligible Entrants further agree that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Eligible Entrants acknowledge that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

12. Force Majeure: The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, national or global health crisis, act of public enemies, actions of governmental authorities — outside of their control (excepting compliance with applicable codes and regulations) — or any other cause beyond their reasonable control, whether similar or dissimilar to any cause listed herein, will not be considered a breach of these Official Rules.

13. Miscellaneous.   The decisions of Sponsor are final with respect to all aspects of this Contest.  The Contest and these Official Rules will be governed, construed and interpreted under the laws of the State of California, USA, without regard to choice of law principles.  Eligible Entrants specifically agree that (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Central District of California in Los Angeles, California, or the Superior Court of California, County of Los Angeles, Metropolitan Courthouse, in Los Angeles, California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will Eligible Entrants be permitted to obtain awards for, and Eligible Entrants hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problems, or any condition caused by events beyond the reasonable control of Sponsor that may cause the Contest to be disrupted or corrupted, Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (b) award a prize from among the non-suspect, eligible entries received up to the time of the impairment.  Sponsor reserves the right in its sole discretion to disqualify any person it finds to be tampering with the entry process or the operation of the Contest, to be acting in violation of these Official Rules or any applicable laws relating to the Contest, or to be acting in an unsportsmanlike or disruptive manner, and to resolve all disputes in its sole discretion.  Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 

14. Winners List; Official Rules. For notification of the winners and/or a copy of these Official Rules, send a self-addressed, stamped envelope to: Own Your True Contest, c/o Guru Denim LLC, 500 West 190th Street, Suite 300 Gardena, CA 90248.  Requests for the winners list will only be accepted after the end of the Entry Period and must be received by May 31, 2025.

15. Sponsor. The Sponsor of this Contest is Guru Denim LLC.  Entrants shall not use the trademarks of Sponsor or falsely associate themselves with Sponsor during or after the Entry Period.
